With victories and defeats on multiple fronts, as well as crippling rebellions facing both Japan and China, a treaty is drafted in Nanjing, the capital of Tali, to end both the combined Sino-Japanese War and the Chinese Conquest of Tali.

- A ceasefire shall be implemented while this treaty is being negotiated.
- In return for invading Tianjin and Beijing, thus starting the Sino-Japanese War, Japan shall become a Chinese tributary.
- Japan shall annex the port city of Shanghai and the province of Jiangsu into its empire
- The Kingdom of Tali shall remain independent and retain antebellum borders sans Shanghai

Japanese Counter-Counter proposal[]
- A 50 year NAP shall occur between China, Japan, and Tali.
- Japan shall pay 50,000 lbs of bullion to China, with none to Korea for we have made a separate peace with Korea.
- Japan shall surrender shall cease all territorial claims on the Chinese mainland
- The Kingdom of Tali shall be restored to its antebellum borders
- Japan shall enter the Chinese tributary system with full benefits, including trade with China.

- Agrees to all terms beside tribute and NAP
- A NAP will exist with japan in which japan may not attack china for 50 years
- Japan shall not reap any benefits from the tribute system to china for the next 50 years as additional reparations.

- We agree to recind the 50 year NAP with Tali request in return for trade with China while under the tributary system
